Terms & Conditions

A legal disclaimer

These Terms & Conditions apply to embroidery digitizing services provided by MJW Embroidery, operated by Mike Whaites and established in Sweden.

​

By accepting a quotation, instructing me to begin work or otherwise placing an order with MJW Embroidery, you agree to these Terms & Conditions.

1. Services

​

MJW Embroidery provides professional embroidery digitizing services.

I convert customer-supplied artwork into embroidery files suitable for use with compatible embroidery machines and software.

MJW Embroidery provides digitizing files only and does not provide embroidery onto garments, clothing or other physical products.

​

Services are available to both businesses and private individuals.

​

2. Quotations & Orders

​

Unless separate pricing arrangements have previously been agreed, each project will be individually quoted before work begins.

Quotations are based on the artwork, dimensions, requirements and other information supplied at the time of the request.

If the requirements change after a quotation has been provided, I may need to revise the price. Any additional charge will be communicated before the additional work is carried out.

​

Bulk orders and regular work may qualify for discounted or agreed pricing arrangements. Rates are determined individually based on the expected volume, size and complexity of the designs. Any agreed pricing structure will be confirmed with the customer and may be reviewed if the volume or nature of the work changes substantially.

​

An order becomes accepted when you approve the quotation or otherwise clearly instruct me to proceed.

​

3. Turnaround Times

​

My standard turnaround time is typically within 24 hours, Monday to Friday.

MJW Embroidery is closed at weekends.

​

The 24-hour turnaround is a normal service target rather than an absolute guarantee. More complex designs, specialist techniques, unusually large orders or circumstances outside my reasonable control may require additional time.

​

Where I expect a project to take longer than usual, I will endeavour to let you know.

4. Stitch Count Estimates

Where requested, I may provide an estimated stitch count before a design has been fully digitized. Any stitch count provided at this stage is an approximation only and is not guaranteed.

​

The final stitch count may vary depending on factors including stitch types, density, underlay, sequencing, detail and adjustments required during the digitizing process. Accurate estimates can be particularly difficult for larger or more complex designs.

​

MJW Embroidery is not responsible for differences between an estimated stitch count and the final stitch count of the completed design. Customers should not rely on an estimate as a guaranteed figure when calculating production costs or other charges.

​

5. Payment

​

New customers are normally required to make payment in full before the completed embroidery files are released.

Once a regular working relationship has been established, customers may be offered monthly invoicing at my discretion.

​

Where monthly invoicing has been agreed, payment terms are 30 days from the invoice date, unless otherwise agreed in writing.

Invoices may be issued and paid through Wise, including available bank-transfer options. Payment may also be accepted through PayPal.

​

Payment arrangements may be changed or credit facilities withdrawn at my discretion, including where invoices are overdue.

​

Applicable invoices will clearly state their due date. Swedish business guidance confirms that agreed 30-day terms mean payment is due within 30 days of the invoice date.

​

6. Files Supplied

​

Unless otherwise agreed, completed projects normally include:

​

  • The editable Wilcom EMB file

  • A PDF production worksheet

  • The embroidery machine file format requested by the customer, such as DST, PES or another compatible format

​

It is the customer's responsibility to tell me which machine format is required.

​

If you are unsure which format your embroidery machine requires, please ask before production.

​

7. Revisions

​

I want the finished embroidery to perform and look as good as reasonably possible.

​

Reasonable revisions required to correct or improve the original digitizing are included. These may include:

​

  • Correcting stitch-related issues

  • Adjusting stitch density

  • Improving the performance or appearance of the embroidery

  • Other reasonable corrections to the original digitized design

  • Resizing the original design by up to approximately 10%

​

Where possible, customers should provide a clear photograph of the actual embroidered result when requesting a revision. This allows me to assess the stitching and identify whether an issue relates to the digitizing or another production factor.

There is no additional charge for reasonable revisions intended to correct a genuine issue with the original digitizing.

​

8. Amendments & Additional Work

​

A revision is different from a change to the original project requirements.

Additional charges may apply where you request:

​

  • A size increase or decrease of more than approximately 10%

  • Changes to the original artwork or design

  • Additional or changed elements

  • Additional colour variations

  • A substantially different version of the original design

  • Other work outside the scope of the originally approved project

​

Where an additional charge applies, I will notify you before carrying out the additional work.

​

9. Test Embroidery & Production

​

All embroidery files should be test sewn before full production.

​

Embroidery results can be affected by many factors outside the digitizing file itself, including:

​

  • Fabric or garment construction

  • Stabiliser or backing

  • Thread type

  • Needle type and condition

  • Machine setup and maintenance

  • Thread tensions

  • Hooping

  • Machine speed

  • Operator settings and production methods

​

A file that performs correctly under one set of production conditions may require adjustments under another.

​

If you experience a problem, please send me a clear photograph of the embroidered result together with details of the garment or material being used. I will use this information to determine whether the digitizing can be improved or whether changes to the production setup may be advisable.

​

Customers should not proceed with bulk production until they are satisfied with the test embroidery.

​

10. Problems With a Design

​

If you believe there is an issue with a digitized file, please contact me and provide details of the problem.

Where the issue can reasonably be corrected through digitizing, I will revise the file in an effort to resolve it.

Some embroidery problems may arise from materials, equipment, machine settings or other production circumstances outside my control. Where appropriate, I will use my experience to help identify these issues and advise on possible solutions.

Each issue will be assessed individually.

​

11. Refunds

​

Because digitizing is a bespoke service created specifically from customer-supplied artwork, refunds are not normally provided simply because a customer changes their mind after the work has been completed, subject always to any statutory consumer rights that apply.

​

If there is a genuine issue with the digitizing, I will first be given a reasonable opportunity to correct the file.

​

If an issue cannot reasonably be resolved, I will assess the circumstances individually. A full or partial refund may be offered where I consider it appropriate or where required by applicable law.

​

Nothing in these Terms limits any statutory rights that cannot legally be excluded.

​

12. Cancellations

​

If a business customer cancels an order after digitizing work has commenced, the agreed price remains payable in full.

Different statutory rules may apply where the customer is a consumer, including rights relating to distance contracts. Those rights are explained in Section 12.

​

13. Consumer Right of Withdrawal

​

If you are purchasing MJW Embroidery's services as a private individual for purposes mainly outside your trade or profession, you may have statutory consumer rights in addition to these Terms.

​

Consumers entering into a contract at a distance generally have a 14-day right of withdrawal under Swedish law.

​

Because MJW Embroidery normally begins work much sooner than 14 days after an order is placed, you may be asked to expressly request that work begins during the withdrawal period.

​

Where the applicable law allows the right of withdrawal to end following the supply of digital content, this will only occur where the statutory requirements have been met, including obtaining the consumer's express agreement to immediate supply and acknowledgement of the resulting loss of the withdrawal right.

​

Nothing in these Terms removes or restricts consumer rights that cannot lawfully be excluded.

​

14. Customer Artwork & Intellectual Property

​

You retain ownership of the artwork, logos and other original materials that you supply to me, subject to any rights belonging to third parties.

​

By submitting artwork for digitizing, you confirm that you own the artwork or have the necessary permission, licence or authority to reproduce it and have it digitized.

​

You are responsible for obtaining any necessary permission relating to trademarks, copyrighted artwork, brand logos, characters or other protected material.

​

MJW Embroidery is not responsible for claims arising from artwork supplied by a customer without the necessary rights or permission.

​

15. Completed Embroidery Files

​

Once the applicable payment has been made, the completed embroidery files supplied as part of the project are provided to the customer for their intended embroidery production use.

​

This normally includes the EMB source file, PDF production worksheet and requested machine format.

​

The provision of an embroidery file does not transfer ownership of any third-party copyright, trademark or other intellectual-property rights contained within the original artwork.

​

16. Archived Files & Replacement Copies

​

MJW Embroidery maintains an archive of completed EMB, DST or other supplied machine files and PDF production worksheets.

These files are retained so that previous customers can request replacement copies if their original files are lost and to assist with repeat orders or future revisions.

​

Where the original completed file remains available in my archive, I will normally provide a replacement copy to the original customer without charge, provided no alterations or additional work are requested.

​

If changes are required, they may be treated as revisions or additional work in accordance with Sections 6 and 7.

​

Although I maintain a long-term archive as part of my service, customers should also maintain their own backup copies of all files supplied.

​

17. Confidentiality

​

Customer artwork, project files and information supplied for digitizing will be treated as confidential and will not be intentionally disclosed or made publicly available without permission, except where disclosure is necessary to provide the service or required by law.

​

This is particularly relevant to unreleased artwork, brand collaborations, product launches and other commercially sensitive projects.

​

Necessary information may be processed through trusted service providers used to operate MJW Embroidery, as explained in the Privacy Policy.

​

18. Liability

​

I take reasonable care to produce high-quality embroidery files suitable for the requirements provided by the customer.

However, because the final embroidered result depends on equipment, materials, machine settings and production methods outside my control, I cannot guarantee identical results across every machine, garment or production environment.

​

Customers are responsible for carrying out an appropriate test sew-out before commencing bulk production.

​

To the extent permitted by applicable law, MJW Embroidery will not be responsible for avoidable production losses resulting from a customer's decision to proceed with bulk production without first adequately testing and approving the embroidery file.

​

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law, including applicable statutory consumer rights.

19. Website Use

​

The content of the MJW Embroidery website is provided for general information about my services.

​

Website text, graphics, branding, photographs and other original website content may not be copied, reproduced or commercially used without permission, except where permitted by law.

​

Third-party trademarks, logos and customer work remain the property of their respective owners.

​

I make reasonable efforts to keep information on the website accurate and current but cannot guarantee that all information will always be complete or free from errors.

​

20. Privacy

​

Personal information is handled in accordance with the MJW Embroidery Privacy Policy.

​

The Privacy Policy explains what information I collect, how it is used, the third-party services I use and your rights under applicable data-protection law.

​

21. Governing Law

​

These Terms & Conditions and the provision of MJW Embroidery services are governed by the laws of Sweden, subject to any mandatory consumer protections or other rights that apply under applicable law.

​

If a dispute arises, I encourage customers to contact me first so that we can attempt to resolve the matter directly.

Nothing in this section prevents a consumer from exercising any right to bring a dispute before a competent court or dispute-resolution body where such a right is provided by law.

​

22. Changes to These Terms

​

I may update these Terms & Conditions from time to time to reflect changes to my services, business practices or applicable law.

The version applicable to an order will generally be the version in effect when that order is accepted, unless a change is required by law or otherwise agreed.

​

The latest version will always be available on the MJW Embroidery website.
